Many Arab doctors working in the UK — as NHS consultants, locum doctors, or private practitioners — hold or consider holding a UK limited company for their professional income. The question is whether using a limited company is genuinely beneficial after the 2021 IR35 reforms, and what the specific rules are for medical professionals.
IR35 is the most important consideration for NHS locum work. If you provide locum services to NHS trusts or private hospitals, the IR35 off-payroll rules (Chapter 10 ITEPA 2003) apply. Since April 2021, medium and large NHS trusts determine IR35 status for their engagements. Most NHS locum arrangements are assessed as inside IR35 — meaning income tax and NICs are deducted at source by the trust before paying your company. The company effectively becomes a pass-through with no tax advantage. HMRC has challenged numerous NHS locum limited company arrangements and courts have largely upheld inside IR35 determinations for standard NHS locum work.
Where a UK company still provides genuine benefit for medical professionals: private practice income under contracts you genuinely control (private clinics, cosmetic medicine, aesthetic treatments); expert witness or medico-legal reports; medical consultancy to pharmaceutical or device companies; academic consulting or research income not covered by NHS off-payroll; and consulting to GCC hospitals or healthcare providers — providing services internationally outside NHS structures is where the company structure is most clearly tax-efficient.
CQC (Care Quality Commission) registration applies to companies involved in regulated healthcare activities in England — running a clinic, providing regulated treatment. This is separate from your individual GMC registration. For Arab doctors whose UK company only provides overseas consultancy to GCC clients, or provides medico-legal reports, CQC registration is typically not required. But if the company itself provides regulated clinical activities in England, CQC registration is mandatory.
The BMA has published guidance noting that for many locum doctors a limited company no longer provides the tax advantages it once did following the 2021 reforms. The analysis is different for non-NHS, non-locum work with genuine commercial contracts. Arab doctors with mixed income streams — UK private practice or medico-legal plus GCC consulting — can structure their UK company around the non-IR35 income streams, where the company structure remains legitimate and tax-efficient.
Compliance is the same as for any UK limited company: annual accounts, Corporation Tax obligations, a confirmation statement and identity verification. The ID requirement has applied since 18 November 2025, with existing directors using the next confirmation statement during the transition.
