Terms of Service

These Terms of Service ("Terms") govern the relationship between Fileminder Ltd ("Fileminder", "we", "us", "our") and any individual or company ("you", "the client") who engages our services. By instructing us to act on your behalf, you confirm that you have read, understood, and agree to these Terms in full.

1. About Fileminder Fileminder Ltd is a company registered in England and Wales (Company No. 17027059). Registered office: 159 Kilburn High Road, London, NW6 7HU. We are regulated by the Association of Accounting Technicians (AAT) for the purposes of providing accountancy and tax services. We are authorised as an Authorised Corporate Service Provider (ACSP) by Companies House. We are supervised for Anti-Money Laundering purposes by AAT and hold Professional Indemnity Insurance. Our ACCA-qualified accountants operate under ACCA's ethical and professional standards.

2. Services Fileminder provides the following UK company compliance services: (1) Director ID Verification — remote identity verification through the ACSP route for UK company directors; (2) Confirmation Statement — preparation and filing of the annual confirmation statement with Companies House; (3) Annual Accounts — preparation of statutory accounts and Corporation Tax return (CT600) for filing with Companies House and HMRC; (4) Registered Office — provision of a professional London address for use as the company's registered office, with mail scanning and same-day forwarding; (5) Business Credit Check — company credit reports sourced from Creditsafe; (6) Business Bank Account Assistance — guidance, document preparation, and provider matching to assist directors in opening a UK business bank account (facilitation only — we do not open accounts on your behalf); (7) Rescue Service — preparation and filing of overdue accounts, confirmation statements, and Corporation Tax returns to restore compliance and prevent or reverse company strike-off. The specific services included in your engagement are set out in the relevant service agreement or plan confirmation.

3. Fees and Payment Fees are as published on our pricing page at fileminder.co.uk/pricing or as agreed in writing prior to engagement. Annual plans are invoiced in advance and payable in full before work commences. Monthly plans are invoiced at the start of each month. One-off service fees are payable before delivery. We reserve the right to suspend or withhold services if payment is overdue by more than 14 days. All fees are stated in pounds sterling (GBP). We accept payment in AED, SAR, and other currencies via Wise at the prevailing exchange rate.

4. Client Obligations You are responsible for: providing accurate, complete, and timely information required for us to carry out your services; notifying us promptly of any changes to your company's directors, shareholders, registered office, or business activities; retaining copies of all documents provided to us and all documents we produce on your behalf; ensuring your company's bank account details and contact information are kept current with us; instructing us in sufficient time to meet statutory deadlines — we cannot be held responsible for penalties arising from late instructions.

5. Our Obligations We will: carry out agreed services with reasonable skill and care; meet statutory filing deadlines where you have provided us with all required information in time; keep your information confidential in accordance with our Privacy Policy and applicable law; notify you promptly of any matters requiring your attention or decision; maintain our regulatory authorisations and professional indemnity cover.

6. Limitation of Liability Our aggregate liability to you in respect of any claim arising from the provision of services is limited to the total fees paid by you to us in the 12 months preceding the event giving rise to the claim. We are not liable for: penalties, fines, or charges imposed by Companies House, HMRC, or any other authority arising from information you provided that was inaccurate, incomplete, or delivered late; losses arising from decisions you make based on information we provide; indirect, consequential, or economic loss of any kind. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.

7. Professional Indemnity Fileminder holds Professional Indemnity Insurance to the level required by AAT regulations. Details are available on request.

8. Anti-Money Laundering As a regulated firm, we are required by the Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017 to verify the identity of all clients before providing services and to monitor business relationships on an ongoing basis. You agree to provide identity documents and any additional information we request for these purposes promptly. We may suspend or terminate services if we are unable to complete required due diligence. Our full AML Policy is published at fileminder.co.uk/legal/aml-policy.

9. Confidentiality We will not disclose your confidential information to third parties except: where required by law or regulation; to our professional advisers under obligations of confidentiality; with your express consent. You acknowledge that we may be required to make disclosures to regulatory authorities (including the NCA under POCA 2002) without notifying you.

10. Intellectual Property All reports, documents, and materials we produce remain the intellectual property of Fileminder until payment is received in full. Upon full payment, you receive a non-exclusive licence to use the deliverables for the purpose for which they were produced.

11. Termination Either party may terminate the engagement by giving 30 days' written notice. We may terminate immediately if: you fail to pay fees when due; you provide materially false or misleading information; we are unable to complete required AML checks; or continuing the engagement would place us in breach of our regulatory obligations. On termination, you remain liable for fees for services already rendered.

13. Governing Law These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms We may update these Terms from time to time. Updated Terms will be posted at fileminder.co.uk/legal/terms-of-service with a revised date. Continued use of our services after the updated date constitutes acceptance of the revised Terms.
