A registered office is the official legal address of your UK company. It must be a physical address in England, Wales or Scotland — not a PO Box, not a virtual mailbox overseas, and not your home address in Dubai or Riyadh. Every piece of official correspondence — HMRC notices, Companies House letters, court documents, and penalty warnings — goes to this address. If you're not monitoring it, you can miss a statutory deadline without ever knowing it was sent.

The most common mistake Fileminder encounters: an Arab director incorporated their company through a formation agent, used the agent's address as the registered office, and then either lost contact with the agent or stopped checking that mailbox. Months later, they discover that a Companies House strike-off warning was sent to that address and ignored. The company is now struck off, and reinstating it costs significantly more than the original compliance would have.

What to look for in a registered office provider: first, they should scan and forward every piece of incoming mail — ideally on the same day it arrives. A London address carries more credibility with UK banks and business partners than an address in a rural county. You should receive a digital copy of every letter, not just a summary. And the provider should be reachable in your time zone — or at least during Gulf working hours.

Changing your registered office is straightforward: file a simple form (AD01) with Companies House, which takes effect immediately. But you must do it before leaving your previous provider — letters sent to the old address after the change date do not follow you. If you're switching providers, file the change first, then give notice to the old one.
