Dormant company

What it is

A UK company that has had no significant accounting transactions during its financial year. Companies House and HMRC use slightly different definitions — a company can be dormant for Companies House filing purposes but still owe HMRC obligations if it received any income or paid any expenses.

Why it matters

A dormant company still has legal obligations: simplified dormant accounts and the confirmation statement must still be filed with Companies House every year. 'Dormant' means no trade — not no filings.

Common mistake

Ignoring a dormant company because 'nothing is happening'. Non-filing still triggers strike-off warnings and eventually compulsory dissolution — the same as for an active company.
