Arab directors living abroad: how to manage a UK company remotely
By Ibrahem Almahawe
Key takeaways for Arab directors
- 1Arab directors based anywhere abroad can own and operate a UK limited company, no UK presence needed
- 2Three annual filing deadlines: accounts (recurring 9 months, with first accounts often 21 months from incorporation), confirmation statement (12 months), corporation tax (return at 12 months, tax paid at 9 months and 1 day)
- 3Director ID verification is mandatory; check the register for each role's date
- 4Your home-country accountant covers local obligations; directors can file UK returns directly or partner with a UK-qualified provider
- 5Fileminder handles all UK obligations remotely, in Arabic, on Arab-world hours, with WhatsApp communication
Frequently asked questions
- Is it legal for non-UK residents to own and direct a UK limited company from abroad?
- Yes. UK corporate law permits foreign nationals and overseas residents to fully own shares and act as directors of a UK private limited company without living in the UK, visiting the country, or holding UK citizenship.
- Does directing a UK company from the Gulf trigger local corporate tax or permanent establishment risks?
- If all strategic management and commercial decisions are exercised within your country of residence, local tax authorities (such as the FTA in the UAE or ZATCA in Saudi Arabia) may deem the company to have a domestic tax residency or permanent establishment. Directors should maintain clear operational delineation and governance records.
- How can an overseas director complete mandatory Companies House identity verification?
- Overseas directors can verify their identity entirely remotely using a valid biometric passport through GOV.UK One Login or via an Authorised Corporate Service Provider (ACSP) such as Fileminder, with no UK travel required.
- Can my local accountant in Saudi Arabia or the UAE handle my UK company filings?
- Not on the strength of their local qualification. Bodies such as SOCPA or EAAA license accountants within their own jurisdictions, and that membership does not by itself give any UK filing or identity-verification authority. An accountant or firm can separately register as an HMRC agent or be authorised by Companies House as an ACSP, so check the provider's own ACSP registration and HMRC authority before relying on them. Directors can also file routine returns themselves.
Fileminder’s take, written for Arab UK company directors
The UK does not require you to live in the country to own or direct a UK limited company. You can be based anywhere in the Arab world. Dubai, Riyadh, Kuwait City, Doha, Manama, Muscat, or Cairo, and your company remains fully valid and fully operable. What it does require is that you keep up with the UK's annual compliance cycle, regardless of where you live. That cycle is the same for every UK limited company, and it runs on a fixed calendar tied to your company's financial year-end.
Your three core annual obligations: annual accounts must be submitted to Companies House within nine months of your company's financial year-end (the first accounts deadline often differs, typically falling 21 months from incorporation for a period over 12 months). The confirmation statement, a separate annual filing confirming your company's registered details are accurate, must be filed every 12 months. If your company is actively trading, a corporation tax return (CT600) must be submitted to HMRC within 12 months of the accounting period end, with tax paid within nine months and one day. Missing your accounts deadline triggers automatic statutory late filing penalties starting at £150 and escalating with time, while missing your confirmation statement may lead to prosecution or strike-off action. If left unresolved, Companies House will initiate compulsory strike-off proceedings to dissolve the company (though legal restoration routes exist within statutory limits).
Director identity verification is now mandatory. New directors verify before appointment; existing directors provide their personal code with the company's next confirmation statement during the transition. You can verify directly with Companies House using a current biometric passport from any country or use an authorised ACSP. The relevant date is attached to each role on the Companies House register, not one universal deadline.
Check what your home-country accountant can do here. Membership of EAAA, SOCPA, KAAA, QCPA, BAAA, OACPA or another Arab-world accounting body does not, on its own, make a firm a UK ACSP or an HMRC-registered agent, so ask any provider which UK registrations it holds. While directors remain legally responsible and can file routine returns themselves (a CT600 needs commercial software; Companies House accounts can still be filed through its own online service until software-only filing starts on 1 April 2028), navigating UK statutory requirements and HMRC tax rules is generally best supported by UK-qualified professionals. For director identity verification, you must verify either directly via GOV.UK One Login or through an authorised ACSP. Your home-country accountant handles your local obligations, while a UK provider covers your UK compliance.
How to manage day-to-day from abroad: you need a UK registered office address (Fileminder provides a London address, included in the Company Compliance and Managed Finance plans), your company's UTR number for HMRC correspondence, and access to MTD-compatible accounting software if your company is trading (Xero, QuickBooks, or Sage, all cloud-based and accessible from anywhere). Communication with Fileminder is via WhatsApp, we operate Sunday to Thursday, 9am-6pm GST, which aligns with Arab-world working hours. No UK visit is required at any point in the annual cycle.
