The UK and Morocco signed a Double Taxation Agreement in 2011 (in force 2012). The treaty prevents double taxation on income flowing between the two countries and limits UK withholding tax on dividends paid to Moroccan-resident shareholders. Morocco has progressive personal income tax with rates reaching up to 38% — among the higher personal tax rates in the Arab world. Unlike Gulf countries, Moroccan directors may owe Moroccan personal income tax on dividends drawn from a UK company. The DTA prevents double taxation but does not eliminate Morocco's domestic tax charge on overseas income. Professional advice on tax structuring is important for Moroccan directors.
An increasing number of Moroccan entrepreneurs hold UK companies for consultancy, e-commerce, and trade with European and African markets. Morocco's strategic position bridging European and African markets makes UK companies particularly useful for directors with diverse client bases — the UK company provides a recognised British legal entity for EU and UK contracts.
Director identity verification has been mandatory since 18 November 2025. Existing directors provide their personal code with the company's next confirmation statement during the transition. A Moroccan passport may be used through an ACSP such as Fileminder, subject to the current evidence standard, with no UK visit required.
Annual accounts must be filed with Companies House within nine months of the company's financial year-end. Corporation Tax return and payment to HMRC. Confirmation statement annually. These UK obligations run independently of any Moroccan requirements under the OEC (Ordre des Experts Comptables) or the Direction Générale des Impôts.
